Articles of Incorporation

Articles of Incorporation are documents that legally create your company once they are tendered to the government and a certificate is received. The company's very being derives from statute. Once created, the company has all the rights and responsibilities of a person. We tailor these documents to your business goals and build them with flexibility at the outset to allow future planning. 

Articles of Amendment

Articles of Amendment are documents used to make changes to a company's articles of incorporation. These may be required if you are looking to change the company's capital structure, change the number of directors, change the shareholder rights, change the name of the company, and more.

Capital Reorganizations

Capital reorganizations may be required if you are looking to add a holding company or a trust to your operating company. A reorganization may also be needed if you want to change your company's share structure or transfer property on a tax-free basis. These transactions are done in tandem with the company's accountant or tax advisor.

Annual Minutes

Corporations are legally required to maintain an up-to-date minute book. For larger corporations, this is usually in the form of annual meetings. For smaller corporations, annual recordings are by way of written resolutions. An improperly maintained minute book can result in fines, the loss of corporate status, the inability to initiate or defend a lawsuit, the inability to contract, and more. 

Corporate Agreements

We provide detailed agreements such as shareholder agreements or share subscription agreements for outside investors who are buying in to the capital of your company.
